Terms of Service

NovaDraft is a subscription software-as-a-service platform that helps freelancers and agencies manage clients and projects, generate business proposals (including AI-assisted drafting), create invoices, and export documents as PDFs.

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity that occurs under your account.

Paid plans (Pro and Enterprise) are billed on a recurring monthly or annual basis until cancelled. Subscriptions renew automatically at the end of each billing period.

Payments are processed by our payment provider and merchant of record, Lemon Squeezy. By purchasing a subscription you also agree to Lemon Squeezy's terms. NovaDraft does not store your full payment card details.

You can cancel at any time from your account billing settings; cancellation stops future renewals. See our Refund Policy for refund eligibility.

We may offer a free plan or trial with usage limits. We may change the limits or features of free offerings at any time. Abuse of free offerings (e.g., creating multiple accounts to avoid limits) is prohibited.

You agree not to misuse the Service, including: using it for unlawful, fraudulent, or infringing purposes; attempting to access other users' data; reverse-engineering, scraping, or overloading the Service; or generating content that is illegal, defamatory, or violates third-party rights.

You retain ownership of the content you create or upload (proposals, invoices, client data, logos). You grant us a limited license to process and store that content solely to provide the Service. You are responsible for ensuring you have the rights to any content you submit.

The Service uses third-party AI models to draft proposal text from the inputs you provide. AI output may be inaccurate or incomplete; you are responsible for reviewing and editing any AI-generated content before relying on or sending it.

The Service, including its software, templates, design, and branding, is owned by NovaDraft and protected by intellectual property laws. These Terms do not grant you any right to our trademarks or to copy or resell the Service.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

To the maximum extent permitted by law, NovaDraft will not be liable for indirect, incidental, or consequential damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the 12 months before the claim.

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or for legal or security reasons. Provisions that by their nature should survive termination will survive.

We may update these Terms from time to time. Material changes will be reflected by updating the date above and, where appropriate, by notice. Continued use of the Service after changes means you accept the updated Terms.

These Terms are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules.
